9 STATUTES Mayors and Municipal Leaders of Africa, Considering the need for the effective implementation of the Abidjan Declaration, have agreed to create an Alliance, the organisation and procedures of which are described in the following statutes:
Article 1: Mayors and Municipal Leaders of Africa hereby create an entity called the HIV/AIDS Alliance of Mayors and Municipal Leaders in Africa. Article 2: The objective of this Alliance is to create the conditions necessary for the effective application of the Abidjan Declaration, namely by:
Article 3: The Alliance is open to all Mayors and Municipal Leaders of African cities and to their associations. Mayors and Municipal Leaders from other continents who are linked to African Municipalities or to members of the Alliance through decentralised cooperative agreements, may be granted the status of associate member of the Alliance. Article 4: Membership of the Alliance is granted by a simple majority of members of the General Assembly upon request of a Mayor, a Municipal Leader or an Association. TITLE II: ORGANISATION AND OPERATING PROCEDURES Article 5: The Alliance is organised around simple, non-bureaucratic structures, and its operating principles are characterised by flexibility and openness to emerging needs. Article 6: The headquarters of the Alliance will rotate and will be located in the Office of the Coordinator for the length of his or her term of office. Article 7: The Alliance is composed of:
Chapter I: The General Assembly Article 8: The General Assembly is composed of all the members of the Alliance. Additionally, the Assembly may invite external people to their meetings who are recognized for their competence on issues to be discussed. Article 9: The General Assembly designates the Coordinator, his/her two Deputy Coordinators, and the members of the Coordinating Committee. The Assembly identifies the overall objectives of the Alliance and approves the Coordinators Annual Report. Article 10: The General Assembly meets at least once a year under the presidency of the Coordinator, and, upon the request of a majority of its members, whenever the need arises. A quorum of half of the members of the General Assembly is required for this structure to meet. Decisions are made by consensus. Chapter II: the Coordinator Article 11: The Coordinator of the Alliance is chosen by the General Assembly. Article 12: The Coordinators term of office is two years, non-renewable. Article 13: The Coordinator oversees the implementation of the decisions of the General Assembly and coordinates the activities of the Alliance. He/She represents the Alliance whenever necessary. Article 14: The Coordinator is assisted by two Deputies, the first of whom assures the interim when the Coordinator is unavailable. Article 15: The Deputy Coordinators are named for a two-year, non-renewable term. Chapter III: The Coordinating Committee Article 16: The Coordinating Committee is composed of five (5) members chosen based on geographic criteria, with consideration given to the capacity and commitment of the municipalities they represent. The Coordinator and his/her two Deputies are full members of the Coordinating Committee. Article 17: The five members of the Coordinating Committee are named for a two-year, non-renewable term. Article 18: The Coordinating Committee supports the Coordinator and his/her Deputies in the implementation of the overall objectives of the Alliance. Article 19: Meetings of the Coordinating Committee are convened and presided over by the Alliance Coordinator who, in consultation with the Committee, sets the agenda for the meeting. Additionally, the Coordinating Committee may invite other people to its meetings who are recognized for their competence on specific issues to be discussed. A quorum of half of the members of the Coordinating Committee is required for this structure to meet. Decisions are made by consensus. TITLE III: RESOURCES Article 20: The resources of the Alliance consist of dues paid by its members and of the financial grants it receives. In the context of the implementation of the Alliance action plan in their respective countries, Alliance members may mobilise human and financial resources at the national level in collaboration with their development partners and with the public and private sectors.
TITLE IV: MODIFICATION OF THE STATUTES AND DISSOLLUTION Article 21: The current statutes may by modified by a simple majority of the members of the General Assembly of the Alliance. Article 22: Only the General Assembly has the authority to dissolve the Alliance. A two-thirds majority of the members of the General Assembly is required to dissolve the Alliance. Article 23: In the case of the dissolution of the Alliance, a two-thirds majority of members of the General Assembly will decide on the transfer of the remaining assets of the Alliance to organisations having similar goals. |
